Terms and Conditions
Last updated: April 2026
These terms and conditions apply to all services provided by Oliver Vikse trading as Calder Valley Tech Support. By engaging our services you agree to these terms.
1. Services
Calder Valley Tech Support provides digital consultancy services including website design and build, digital systems setup, and ongoing support for small businesses and charities. The specific services to be provided will be agreed in writing before work begins.
2. Fees and pricing
Project and setup work is charged using a tiered pricing structure agreed before work begins.
Ongoing support work outside of a retainer agreement is charged at the agreed hourly rate as set out in the client’s individual Service Level Agreement.
All prices are exclusive of VAT. Calder Valley Tech Support is not currently VAT registered and therefore VAT is not charged.
3. Monthly retainer
Calder Valley Tech Support offers an optional monthly retainer package which includes an agreed number of support hours per month as set out in the client’s individual Service Level Agreement.
Retainer hours are allocated on a monthly basis and do not roll over. Any unused hours at the end of the month will expire and cannot be carried forward or refunded.
Work required beyond the included hours will be charged at the agreed hourly rate and invoiced at the end of the month.
The specific services covered under each retainer are set out in the client’s individual Service Level Agreement. Work outside the agreed scope may be quoted separately.
Retainer agreements can be terminated by either party with 30 days written notice in accordance with the termination clause below.
4. Invoicing and payment
Invoices for ongoing work are issued at the start of each month for work completed in the previous month. Invoices are payable within 14 days of issue unless otherwise agreed in writing.
Late payment may result in work being paused until the outstanding balance is settled.
5. Project timescales
Calder Valley Tech Support will work with you to deliver projects in a reasonable timeframe. Timescales are agreed at the start of each project and are dependent on the timely provision of content, feedback, and approvals by the client. Delays caused by the client may affect the agreed delivery date.
6. Revisions
Project work includes two rounds of revisions. A revision is defined as changes to agreed content and design within the original scope of work. Changes that significantly alter the original brief, or revisions beyond the two included rounds, will be charged at the agreed hourly rate.
7. Client responsibilities
The client agrees to provide all necessary access to systems, content, and information required to deliver the agreed services, and to respond to queries and requests for approval in a timely manner. Calder Valley Tech Support cannot be held responsible for delays caused by late responses or incomplete information from the client.
8. Intellectual property
All work created by Calder Valley Tech Support remains the intellectual property of Calder Valley Tech Support until payment has been received in full. Upon receipt of full payment, ownership of all agreed deliverables transfers to the client.
9. Data and access
All systems, data, and accounts belonging to the client remain the property of the client. Calder Valley Tech Support acts as administrator only and will not claim ownership of any client data or systems. Any personal data shared will be handled securely and used only for the purpose of delivering the agreed services, in accordance with our Privacy Policy.
10. Confidentiality
Both parties agree to keep each other’s business information, systems, and data confidential and not to disclose it to any third party without prior written consent, except where required by law.
11. Liability
Calder Valley Tech Support will take reasonable care in delivering all services. However we cannot be held liable for losses caused by third party system failures, data loss outside of our control, downtime caused by hosting providers or external platforms, or issues arising from software updates or client supplied systems.
Our total liability in connection with any engagement shall not exceed the total fees paid by the client for the services in question.
12. Termination
Either party may terminate an ongoing agreement by providing 30 days written notice. All work carried out up to the termination date will be invoiced accordingly. For project based work, the initial deposit is non-refundable if the client terminates the agreement after work has commenced.
13. Governing law
These terms and conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to these terms
